1. What PRNMarketplace is

PRNMarketplace is an online marketplace that connects independent healthcare professionals looking for PRN (per-diem, as-needed) work ("Professionals") with healthcare facilities and other organizations looking for PRN coverage ("Facilities"). We provide software for posting shifts, searching, applying, approving, messaging and rating.

We are a technology intermediary. We are not a staffing agency, an employer, a healthcare provider or a credentialing body, and we do not employ, engage, supervise or place any Professional or Facility.

2. No licensure, credential or background verification

PRNMarketplace does not verify the licensure, certification, credentials, background, eligibility to work, insurance or fitness for any role of any Professional or Facility. License details shown on a profile are supplied by the Professional. Our review of a new account before it is activated is a basic check against misuse of the platform; it is not credentialing and is not an endorsement.

Facilities are solely responsible for confirming that any Professional they approve holds a current, valid license in good standing for the applicable jurisdiction and role, and for any background check, reference check or credentialing review they consider necessary before a shift. Professionals are solely responsible for the accuracy of the information they submit.

3. No employment relationship

Using PRNMarketplace does not create an employment, agency, joint-venture, partnership or staffing-agency relationship between PRNMarketplace and any user, or between a Professional and a Facility by reason of our involvement.

Any engagement arranged through the platform is solely between the Professional and the Facility. We are not a party to it, do not control how the work is performed, do not handle or take a share of wages, and have no responsibility for pay, benefits, tax withholding, workers’ compensation, insurance or any other obligation between them.

4. Accounts and eligibility

You must be at least 18 years old and able to enter a binding agreement. If you create an account for a Facility, you confirm you are authorized to act for it. You are responsible for keeping your sign-in details secure and for everything done through your account.

New Facility and Professional accounts may be reviewed before they are activated. We may decline, suspend or close an account at our discretion, including where information appears inaccurate or use of the platform puts others at risk.

5. Your responsibilities

You agree to:

• provide accurate, current and complete information and keep it up to date;
• hold and maintain any license, certification or insurance required for the work you offer or accept;
• comply with all laws that apply to you, including healthcare licensing, labor and tax laws;
• honor the shifts you post, approve or accept, and cancel as early as possible when you cannot;
• not enter patient information of any kind into the platform (see section 6);
• not misrepresent your identity, credentials or organization;
• not scrape, copy or harvest other users’ information, or use it for anything other than arranging shifts through the platform;
• not interfere with the platform, attempt to access accounts or data that are not yours, or use the platform for unlawful, harassing or fraudulent purposes.

6. No patient information

PRNMarketplace is not designed to hold Protected Health Information (PHI) and none is needed to post, find or fill a shift. You must not enter patient names, records, diagnoses or any other patient-identifying or clinical information into any field, message, profile or upload.

Because no patient records are meant to pass through the platform, PRNMarketplace does not act as a HIPAA "Covered Entity" or "Business Associate" for any Facility. Facilities remain responsible for their own HIPAA obligations, including what they share with a Professional outside the platform.

7. Plans, fees and billing

Some features require a paid plan. The plans, their features and their prices are shown in your account before you subscribe. The free Basic plan includes searching and, within the monthly limits shown in your account, posting and approving shifts (Facilities) and applying to and accepting shifts (Professionals). Higher limits and additional features, such as messaging, analytics and email and text notifications, require a paid plan or complimentary access.

We may give complimentary access to a paid plan for a limited period, including to Professionals when they join. Complimentary access ends on the date shown in your account, may be changed or withdrawn, and does not renew into a paid subscription unless you choose to subscribe.

Paid subscriptions are billed monthly in advance through our payment processor and renew automatically until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the period already paid for, and fees already paid are not refunded except where the law requires. If a payment fails we may retry it, and your plan may be downgraded to Basic if it remains unpaid.

We may change prices or plan features. A price change applies from your next billing period after we notify you.

Fees are for access to the platform only. They are not a fee for staffing services, do not depend on the outcome of any shift, and do not guarantee any match, fill rate or amount of work.

8. Ratings and other content you provide

Facilities and Professionals may rate each other after a shift. Ratings must be honest and based on your own experience. We may hide or remove ratings or other content that we believe is inaccurate, abusive or in breach of these Terms, but we do not review all content and are not responsible for it.

You keep ownership of the content you submit. You give us permission to store, display and use it as needed to operate and improve the platform.

9. Messages from us

We send transactional messages about your account and shifts by email and in the app. We send text messages only if you opt in, and you can opt out at any time in your account settings or by replying STOP. Message and data rates may apply.

10. Our platform

We own the platform, its software, design and trademarks. We give you a limited, revocable, non-transferable right to use it for its intended purpose while your account is in good standing.

The platform is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including that the platform will be uninterrupted or error-free, or that any information supplied by another user is accurate.

11. Limitation of liability

To the fullest extent the law allows, PRNMarketplace and its officers, employees and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from: a Professional’s or Facility’s licensure, credentials, background, conduct or performance; any shift, cancellation, no-show or dispute between users; any decision to approve, decline, accept or cancel; or reliance on information shown on the platform, including search results and ratings.

Our total liability for any claim relating to these Terms or the platform is limited to the subscription fees you paid us in the twelve months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold PRNMarketplace harmless from claims, losses and costs (including reasonable legal fees) arising from your use of the platform, your breach of these Terms, or any engagement or dispute between you and another user.

13. Ending your use

You may close your account at any time by contacting us. We may suspend or close an account, with or without notice, for breach of these Terms, misuse, fraud or conduct that puts others at risk. Ending an account does not cancel obligations that arose beforehand, including obligations between a Facility and a Professional for shifts already worked.

14. Changes to these Terms

We may update these Terms. If a change is material we will tell you through the platform or by email before it takes effect. Continuing to use the platform after the effective date means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Virginia, and you consent to their jurisdiction.
